Affiliate Terms and Conditions

Agreeing to Terms

 

Please read these Affiliate Terms and Conditions (the "Affiliate Agreement") carefully before applying to become an Affiliate of Digifloat ("Digifloat," "we," "us," or "our"). This Affiliate Agreement constitutes a legally binding agreement between you and Digifloat. By submitting an application to participate in our Affiliate Program or by participating in the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Affiliate Agreement.

We may update or modify this Affiliate Agreement from time to time at our sole discretion. Any changes will become effective when posted on this page unless otherwise stated. Your continued participation in the Affiliate Program after any changes are posted constitutes your acceptance of the revised Affiliate Agreement. It is your responsibility to review this page periodically to stay informed of any updates.

Any capitalized term not otherwise defined in this Affiliate Agreement shall have the meaning assigned to it in our Terms of Service, available at https://digifloat.io/terms-of-service. 

 

Definitions

 

Affiliate: An individual or legal entity that has been accepted into the Digifloat Affiliate Program.

Affiliate Agreement: These Affiliate Terms and Conditions, including any amendments or updates made by Digifloat from time to time.

Affiliate Program Application: The application submitted by an individual or legal entity requesting to participate in the Digifloat Affiliate Program.

Affiliate Program: The referral program offered by Digifloat that allows Affiliates to earn Commissions by referring Customers to Digifloat's Services.

Customer: An individual or business that purchases an eligible Service from Digifloat.

Commission: The amount payable to an Affiliate for each qualified Referral in accordance with this Affiliate Agreement.

Referral: A new Customer who accesses Digifloat through an Affiliate's Referral Link and purchases an eligible Service.

Referral Link: A unique tracking URL assigned to an Affiliate for the purpose of attributing Referrals and calculating Commissions.

 

Approval or Rejection of the Application

 
We reserve the right to approve or reject any Affiliate Program Application at our sole discretion, with or without providing a reason. You acknowledge and agree that you have no legal claim or recourse against Digifloat arising from the approval or rejection of your Affiliate Program Application.

 

Referral Links & Tracking

 

Upon approval of your Affiliate Program Application, you will be assigned a unique Referral Link to promote Digifloat's Services. You are solely responsible for using your Referral Link accurately and only as authorized under this Affiliate Agreement.

Digifloat uses cookies, Referral Links, and other tracking technologies to identify and attribute Referrals to Affiliates. A Commission will only be paid for Referrals that are successfully tracked and attributed through our tracking system.

Digifloat is not responsible for any Referrals or Commissions that cannot be tracked or attributed due to the incorrect use, modification, or unauthorized alteration of a Referral Link.

While we take reasonable measures to maintain the accuracy and reliability of our tracking system, technical issues, browser settings, cookie restrictions, ad blockers, or other factors beyond our reasonable control may prevent a Referral from being tracked or properly attributed. In such cases, Digifloat shall not be liable for any untracked or incorrectly attributed Referrals or Commissions.

If you believe a tracking error has occurred, you should notify us promptly with any relevant information. We will make reasonable efforts to investigate the matter; however, Digifloat's determination regarding the tracking and attribution of Referrals and Commissions shall be final.

 

Promotion & Affiliate Obligations

 

As an Affiliate, you agree to promote Digifloat and its Services in a lawful, honest, and professional manner. You must ensure that all statements, representations, and promotional materials relating to Digifloat are accurate, truthful, and not misleading, deceptive, or false.

You are solely responsible for your promotional activities and for complying with all applicable laws, regulations, industry standards, and advertising guidelines, including those relating to marketing, endorsements, consumer protection, privacy, and data protection. Where required by applicable law, you are responsible for obtaining any necessary consents and making any required disclosures regarding your affiliate relationship with Digifloat.

You must not make any representations, warranties, guarantees, or commitments on behalf of Digifloat other than those expressly authorized by us. You must not engage in any activity that could damage Digifloat's reputation, infringe the rights of any third party, or violate this Affiliate Agreement.

 

Termination

 

We reserve the right to suspend or terminate your Affiliate Agreement, your participation in the Affiliate Program, or your Affiliate account at any time, with or without notice, if we determine, in our sole discretion, that you have violated this Affiliate Agreement or engaged in fraudulent, unlawful, or otherwise inappropriate conduct.

Some instances that may lead to termination include but are not limited to:

  • Using deceptive, misleading, or unethical marketing practices.
  • Failing to comply with applicable laws, regulations, or industry standards, including those relating to marketing, advertising, consumer protection, privacy, and data protection.
  • Making false, misleading, or unauthorized claims or representations about Digifloat or its Services.
  • Engaging in any activity that may harm the reputation, goodwill, or interests of Digifloat.
  • Sending unsolicited commercial communications or engaging in spam or other abusive promotional practices.
  • Advertising or promoting Digifloat on websites or platforms that contain or promote illegal activities.
  • Promoting or distributing content that is sexually explicit, defamatory, hateful, discriminatory, or otherwise unlawful.
  • Failing to disclose your affiliate relationship with Digifloat where required by applicable law.
  • Attempting to manipulate referral tracking, generate fraudulent Referrals, or otherwise abuse the Affiliate Program.

We reserve the right to investigate any suspected violation of this Affiliate Agreement and to take any action we consider appropriate, including suspension or termination of your Affiliate account, withholding or forfeiting unpaid Commissions, and pursuing any available legal or equitable remedies.

Upon termination of this Affiliate Agreement, you must immediately cease all use of your Referral Link and stop promoting Digifloat and its Services.

 

Commission and Payment

 

Affiliates are eligible to earn a Commission for each Referral that purchases an eligible Digifloat Service through the Affiliate's Referral Link, provided that the Referral remains an active paying customer for at least fifteen (15) days following the date of purchase.

This timeframe corresponds to our Refund Policy.

No Commission will be paid for any Referral that results in a refund, chargeback, or payment reversal.

Commissions will be paid through PayPal in the applicable currency in accordance with Digifloat's payment schedule. Affiliates are solely responsible for any taxes, duties, or other governmental charges arising from their Commission payments.

The applicable payment schedule will be communicated to Affiliates during the onboarding process or through the affiliate portal. Digifloat reserves the right to modify Commission rates, payment schedules, or the Affiliate Program at any time. Any such changes will apply only to future Referrals and will not affect Commissions already earned under the terms in effect at the time the Referral qualified.

 

Intellectual Property

 

All intellectual property rights in and to Digifloat's trademarks, logos, trade names, graphics, images, text, promotional materials, and other content (collectively, the "Intellectual Property") are and shall remain the exclusive property of Digifloat or its licensors.

Subject to this Affiliate Agreement, Digifloat grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Intellectual Property solely for the purpose of promoting Digifloat and its Services through the Affiliate Program. You may not modify, reproduce, distribute, create derivative works from, or otherwise use the Intellectual Property except as expressly authorized by Digifloat or permitted under this Affiliate Agreement.

You must not use the Intellectual Property in any manner that is misleading, defamatory, unlawful, or likely to damage the reputation or goodwill of Digifloat, nor may you imply any partnership, sponsorship, endorsement, or other relationship beyond your participation in the Affiliate Program.

Upon the termination of this Affiliate Agreement or your participation in the Affiliate Program, your license to use the Intellectual Property will immediately terminate. You must promptly cease all use of the Intellectual Property and remove it from your websites, social media accounts, advertisements, and any other promotional materials under your control.

Digifloat reserves all rights not expressly granted under this Affiliate Agreement and may take any appropriate legal action to protect its Intellectual Property from unauthorized use or infringement.

 

Limitation of Liability

 

To the fullest extent permitted by applicable law, Digifloat shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunities, goodwill, data, or other tangible or intangible losses arising out of or relating to this Affiliate Agreement or your participation in the Affiliate Program, even if Digifloat has been advised of the possibility of such damages.

The Affiliate Program is provided on an "as is" and "as available" basis. Digifloat makes no representations or warranties, express or implied, regarding the Affiliate Program or the results of your participation, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Affiliate Program will be uninterrupted, error-free, or free from technical issues.

You agree to indemnify, defend, and hold harmless Digifloat, its affiliates, directors, officers, employees, agents, licensors, and representatives from and against any claims, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your participation in the Affiliate Program, your breach of this Affiliate Agreement, or your violation of any applicable law or the rights of any third party.

If any provision of this section is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

 

Governing Law and Jurisdiction

 

This Affiliate Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to this Affiliate Agreement or the Affiliate Program shall be subject to the exclusive jurisdiction of the competent courts located in Sriganganagar, Rajasthan, India.
